BY PLACING AN ORDER FOR SERVICES FROM THIS WEBSITE, YOU AFFIRM THAT YOU ARE OF LEGAL AGE TO ENTER INTO THIS AGREEMENT, AND YOU ACCEPT AND ARE BOUND BY THESE TERMS AND CONDITIONS. [YOU AFFIRM THAT IF YOU PLACE AN ORDER ON BEHALF OF AN ORGANIZATION OR COMPANY, YOU HAVE THE LEGAL AUTHORITY TO BIND ANY SUCH ORGANIZATION OR COMPANY TO THESE TERMS AND CONDITIONS.]

YOU MAY NOT ORDER OR OBTAIN SERVICES FROM THIS WEBSITE IF YOU (A) DO NOT AGREE TO THESE TERMS, (B) ARE NOT THE OLDER OF (i) AT LEAST 18 YEARS OF AGE OR (ii) LEGAL AGE TO FORM A BINDING CONTRACT WITH IMMIGRATION SUPPORT SERVICES (“ISS”) OR (C) ARE PROHIBITED FROM ACCESSING OR USING THIS WEBSITE OR ANY OF THIS WEBSITE'S CONTENTS, GOODS OR SERVICES BY APPLICABLE LAW.

These terms and conditions (these "Terms") apply to the purchase and sale of services through the website of Immigration Support Services (https://immigrationsupportservices.com/) (the "Site"). These Terms are subject to change by Immigration Support Services (referred to as “ISS”, “Company”, "us", "we", or "our" as the context may require) without prior written notice at any time, in our sole discretion. Any changes to the Terms will be in effect as of the "Last Updated Date" referenced on the Site. You should review these Terms prior to purchasing any services that are available through this Site. Your continued use of this Site after the "Last Updated Date" will constitute your acceptance of and agreement to such changes.


RECITALS

1. You may or may not also be a client of Ashoori Law or another immigration law firm.

2. You desire to retain the services of ISS for one or more of the support services listed below. (See Addendum for the description of specific services.)

3. You understand that these services are non-legal in nature, and will be provided by 3rd party service providers on behalf of ISS.

4. You agree and understand that ISS is not a law firm, is not providing legal services and is a separate entity from Ashoori Law.

Following is a list of services that you may purchase from the Site (collectively, the “Services”):

Business Entity Registration – this service includes the registration of an LLC or Corporation in the state of your choosing; this service also comes with an application for an EIN number from the IRS for your new business entity.

Business Bank Account Application – this service includes assistance with applying to open a US business bank account for your business entity; you are not required to be physically present in the United States to effectuate this service. Depending on which bank you decide to work with, there may be a separate application that you will be required to complete.

Immigration Business Plan - this service includes preparation of an immigration business plan for your immigration application; this service comes with unlimited revisions.

Franchise Opportunity Sourcing – this service is designed to help you find a franchise opportunity to invest in. the service includes pairing you with a franchise consultant to help you find potential franchise opportunities. The franchise opportunities sources service does not include business due diligence.

Business Website Set-Up – this service includes the creation of 1 basic WordPress website of up to 10 pages. This service does not include web-hosting. You must purchase its own domain and web-hosting services.

Accounting Strategy Call – this service includes one 30-minute accounting strategy call with a Certified Public Accountant (CPA).


General Terms

1. Although you are purchasing one or more of the Services from the Site, you understand and acknowledge that ISS has the option to utilize the services of 3rd party service providers to provide you with these Services. Regardless of whether a 3rd party service provider is involved, you hereby agree to these terms.

2. If a 3rd party service provider is involved (aka “Provider”), we will facilitate the communication process such that the Provider obtains direct access to you in order to effectively provide the Services. However, we will facilitate the introduction to the Provider and collect payment for the Services on the Provider’s behalf.

3. You agree and understand that a Provider may require that you review and execute a separate agreement with each Provider, and you agree in advance to comply with their terms as well.

4. You agree and understand the Services being provided under this Agreement are non-legal in nature.

5. You acknowledge that the Company has fully disclosed to you that the owner of the Company (Michael Ashoori, Esq.) is the same owner of Ashoori Law. However, you understand that the Company is a completely separate entity from Ashoori Law, providing only non-legal services as listed above. You agree that neither the Company nor Ashoori Law is liable for anything that may occur as a result of your purchasing the Services from the Company. You further understand and acknowledge that although you may or may not be an existing client of Ashoori Law, you are free to utilize and acquire the non-legal Services of any other business that competes with ISS.

6. You agree and understand that ISS may issue referral fees to attorneys, law firms, or other individuals that may send ISS client referrals.

7. You agree to defend, indemnify and hold harmless the Company, Ashoori Law (and its officers, directors, agents, subsidiaries, joint ventures, employees and 3rd party service providers), from all claims, demands, losses, liabilities, costs, expenses, obligations and damages including reasonable legal fees, arising out of (a) your violation of any term of these Terms of Service; (b) a breach of your representations and warranties set forth in these Terms of Services; (c) your violation of any law or the rights of a 3rd party (including, without limitation, any copyright, property or privacy right); or (d) any claim that the Services you purchased caused damage to a 3rd party. This indemnification obligation will survive the termination of these Terms of Service and your utilization of these Services.

8. You will not assign any of your rights or delegate any of your obligations under these Terms without our prior written consent. Any purported assignment or delegation in violation of this Section 6 is null and void. No assignment or delegation relieves you of any of your obligations under these Terms.

9. The failure by ISS to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any right or provision will be effective only if in writing and signed by a duly authorized representative of ISS.

10. These Terms do not and are not intended to confer any rights or remedies upon any person other than you. In other words, there are no intended 3rd party beneficiaries to this Agreement.

11. ISS may provide any notice to You under these Terms by: (i) sending a message to the email address You provide. Notices sent by email will be effective when we send the email and notices we provide by posting will be effective upon posting. It is your responsibility to keep your email address current. To give us notice under these Terms, You must contact us as follows: (i) by email transmission to michael@immigrationsupportservices.com or (ii) by personal delivery, overnight courier, or registered or certified mail to Immigration Support Services, 21700 Oxnard Street, Suite 730, Woodland Hills, CA 91367. We may update the email address or mailing address for notices to us by posting a notice on ISS’s website.


Prices and Payment Terms

12. All prices provided in this Agreement are subject to change without notice. The price charged for a service will be the price in effect at the time the order is placed and will be set out in your Service Agreement. Price increases will only apply to orders placed after such changes. Posted prices do not include taxes or charges for shipping and handling. We strive to display accurate price information; however, we may, on occasion, make inadvertent typographical errors, inaccuracies or omissions related to pricing and availability. We reserve the right to correct any errors, inaccuracies, or omissions at any time and to cancel any orders arising from such occurrences.

13. Terms of payment are within the Company’s sole discretion and, unless otherwise agreed by ISS in writing, payment must be received by us before our acceptance of an order. We accept any credit cards that can be processed on the Stripe portal for all purchases. You represent and warrant that (i) the credit card information you supply to ISS is true, correct and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, regardless of the amount quoted to you at the time of your order.


Warranty and Disclaimers

14. We do not control any of the Services offered by our Providers, unless otherwise indicated. The availability of Services through our Providers does not indicate an affiliation with or endorsement of any service or Provider. Accordingly, we do not provide any warranties with respect to the Services offered on our Site. ALL SERVICES OFFERED IN THIS AGREEMENT ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY WHATSOEVER; YOU AFFIRMS THAT ISS SHALL NOT BE LIABLE, UNDER ANY CIRCUMSTANCES, FOR ANY BREACH OF WARRANTY CLAIMS OR FOR ANY DAMAGES ARISING OUT OF THE PROVIDER’S FAILURE TO HONOR ITS WARRANTY OBLIGATIONS TO YOU.

15. IN NO EVENT SHALL ISS BE LIABLE TO YOU OR ANY THIRD PARTY FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES, LOST PROFITS OR REVENUES OR DIMINUTION IN VALUE, ARISING OUT OF, OR RELATING TO, AND/OR IN CONNECTION WITH ANY BREACH OF THESE TERMS, REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER OR NOT ISS WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH THE CLAIM IS BASED. THE COMPANY’S SOLE AND ENTIRE MAXIMUM LIABILITY, AND YOU’S SOLE AND EXCLUSIVE REMEDY FOR ANY CAUSE WHATSOEVER, SHALL BE LIMITED TO THE ACTUAL AMOUNT PAID BY YOU FOR THE SERVICES YOU HAVE ORDERED UNDER THIS AGREEMENT.


Force Majeure

16. ISS will not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in our performance under these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, epidemic, lockouts, strikes or other labor disputes (whether or not relating to our workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.


Governing Law & Jurisdiction

17. All matters arising out of or relating to these Terms are governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of California.


Miscellaneous

18. If any provision of these Terms is invalid, illegal, void or unenforceable, then that provision will be deemed severed from these Terms and will not affect the validity or enforceability of the remaining provisions of these Terms.

19. These Website Terms, and the separate agreement with any Provider relating to any Service you obtain through this Site, and our privacy policy will be deemed the final and integrated agreement between you and ISS on the matters contained in these Terms.

20. Dispute Resolution. If a dispute should arise between you and ISS, we want to provide you with a resolution that is efficient and cost effective by using the Company’s customer service team. Almost all customer service disputes can be resolved to your satisfaction by using our customer service, reachable by sending an email to: michael@immigrationsupportservices.com. If your dispute cannot be resolved using our customer service team, these Terms describe how we shall proceed with the resolution of the dispute.

TO THE EXTENT PERMITTED BY APPLICABLE LAWS, YOU AND ISS AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

YOU ARE AGREEING TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY, OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO ANY CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT MAY ALSO BE UNAVAILABLE OR MAY BE LIMITED IN ARBITRATION.

ANY CLAIM, DISPUTE OR CONTROVERSY (WHETHER IN CONTRACT, TORT OR OTHERWISE, WHETHER PRE-EXISTING, PRESENT OR FUTURE, AND INCLUDING STATUTORY, CONSUMER PROTECTION, COMMON LAW, INTENTIONAL TORT, INJUNCTIVE AND EQUITABLE CLAIMS) BETWEEN YOU AND US ARISING FROM OR RELATING IN ANY WAY TO YOUR PURCHASE OF THE COMPANY’S SERVICES, WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION.

WHAT IS ARBITRATION: Arbitration is more informal than a lawsuit in court and seeks to resolve disputes more quickly. Instead of a judge or a jury, the case will be decided by a neutral arbitrator who has the power to award the same damages and relief that a court can. If any provision of this arbitration agreement is found unenforceable, the unenforceable provision shall be severed, and the remaining arbitration terms shall be enforced.

ARBITRATION PROCEDURES: The Federal Arbitration Act governs the interpretation and enforcement of this dispute resolution provision. Arbitration shall be initiated through JAMS. Any dispute, controversy, or claim arising out of or relating to these Terms shall be referred to and finally determined by arbitration in accordance with the JAMS Streamlined Arbitration Rules and Procedures. If there is a conflict between JAMS Rules and the rules set forth in this Agreement to Arbitrate, the rules set forth in this Agreement to Arbitrate will govern. The JAMS Rules and instructions for how to initiate an arbitration are available from JAMS at http://www.jamsadr.com or 1-800-352-5267. To initiate arbitration, You or ISS must do the following things:

(1) Write a demand for Arbitration. The demand must include a description of the Claim and the amount of damages sought to be recovered. You can find a copy of a Demand for Arbitration at www.jamsadr.com.

(2) Send three copies of the Demand for Arbitration, plus the appropriate filing fee to your local JAMS office or to JAMS, 555 W. 5th Street, Suite 3200, Los Angeles, CA 90013.

(3) Send one copy of the Demand for Arbitration to the other party.

Payment of all filing, administration and arbitrator fees will be governed by the JAMS Rules, except that for claims of less than USD $1,000.00, You will be obligated to pay USD $25.00, and ISS will pay all other administrative costs and fees. In addition, for claims of less than USD $1,000.00, ISS will reimburse you for the USD $25.00 fee if the arbitrator rules in your favor. Arbitration under this agreement shall be held in the United States county where you live or work, California, or any other location we mutually agree to, subject to California law. The arbitration may award on an individual basis the same damages and relief as a court (including injunctive relief). Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

AUTHORITY OF ARBITRATOR: The arbitrator will decide the rights and liabilities, if any, of you and ISS, and the dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim. The arbitrator shall have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under applicable law, the Arbitration Rules, and the Terms. The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon You and ISS.

21. No Class Actions. You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed.

22. Waiver of Jury Trial. THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY, instead electing that all claims and disputes shall be resolved by arbitration. Arbitration procedures are typically more limited, more efficient and less costly than rules applicable in court and are subject to very limited review by a court.

23. In the event any litigation should arise between you and ISS in any state or U.S. federal court in a suit to vacate or enforce an arbitration award or otherwise, YOU AND IMMIGRATION SUPPORT SERVICES WAIVE ALL RIGHTS TO A JURY TRIAL, instead electing that the dispute be resolved by a judge. YOU ACKNOWLEDGE THAT YOU HAVE BEEN ADVISED THAT YOU MAY CONSULT WITH AN ATTORNEY IN DECIDING TO ACCEPT THIS AGREEMENT TO ARBITRATE.

24. OPT-OUT OF AGREEMENT TO ARBITRATE: You can decline this agreement to arbitrate by emailing ISS at michael@immigrationsupportservices.com and providing the requested information as follows: (1) your Name; (2) the URL of Terms of Use and Agreement to Arbitrate Disputes; (3) your Address; (4) your Phone Number; (5) and clear statement that You wish to opt out of this arbitration provision in the Terms of Use. The Opt-Out Notice must be emailed no later than 30 days after the date You first accept the Terms of Use by using the website.
